Terms of Service

These Terms of Service (“Terms”) constitute a legal agreement between you (“you” or “Customer”) and Cryptlex LLP (“Cryptlex,” “we,” “us,” or “our”). By accessing or using Cryptlex’s services, you confirm that you have read, understood, and agreed to be bound by these Terms.
If you are using the services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you may not use the services.
We may modify these Terms from time to time. If material changes are made, we will notify you by posting the updated Terms on our website or by sending notice through email or other reasonable means. By continuing to use the services after such changes, you agree to be bound by the revised Terms. We recommend reviewing the Terms periodically to stay informed of any updates.
1. Services Offered
“Services” refers to the APIs, web portals, SDKs, command-line tools, local server components, and related functionality provided by Cryptlex. The scope and features of the Services may change from time to time at our sole discretion. These services currently include, but are not limited to, capabilities for managing licensing, entitlements, users, and secure distribution of software releases and related files.
2. Eligibility
You must be at least 13 years old to access or use the Services. By using the Services, you confirm that you meet this minimum age requirement.
3. User Representations
By using our services, you represent and warrant that you have the legal capacity to enter into these Terms. You agree that your use of the Services will comply with all applicable laws and regulations. You further represent that any content or files you upload for distribution using the Services do not infringe upon the rights of any third party and do not contain any harmful or unlawful content.
4. Account Registration
Use of the Services requires you to create an account. You must provide accurate, current, and complete information during registration, including your legal full name and a valid email address. Accounts may not be created using automated methods such as bots or scripts.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
5. Subscription and Payments
Cryptlex offers monthly and annual subscription plans, processed exclusively through our authorized reseller and Merchant of Record (MoR), Paddle. By subscribing, you authorize Paddle to charge your selected payment method in advance on a recurring basis and, where applicable, securely store your payment details for future billing.
You may manage your subscription at any time through the web portal. This includes upgrading or downgrading your plan, which may result in a prorated charge or a credit applied to future billing cycles, depending on the timing and nature of the change. Cancellation of a subscription takes effect immediately, but no refunds will be issued for any unused portion of the billing period.
All subscription fees are non-refundable. This includes partial periods of service, unused time on an active account, or cancellations made before the end of a prepaid term.
Cryptlex may update its pricing from time to time. If changes are made to subscription fees, affected customers will be notified at least three (3) months in advance. Updated pricing will only apply from the start of the next billing cycle following the notice period.
Unless otherwise stated, all fees are exclusive of applicable taxes. Taxes such as VAT, GST, or other indirect taxes may be calculated and collected at checkout by Paddle in accordance with local tax laws.
Failure to pay may result in the temporary suspension of your account. If payment remains overdue for six (6) months, Cryptlex reserves the right to permanently delete your account and cancel your subscription.
6. License Grant and Restrictions
Subject to your compliance with these Terms, Cryptlex grants you a limited, non-exclusive, non-transferable, revocable license to use the services for your internal business purposes. You agree not to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the services, SDKs, or any other downloadable software components provided by Cryptlex. You shall not scrape, crawl, or harvest data from the services, use the services for competitive analysis or benchmarking, interfere with service operations, or attempt to circumvent any usage restrictions or security measures.
7. Software
The Services may include downloadable software components such as SDKs, command-line tools, or lightweight local servers for integration and deployment purposes. These components are provided solely to enable the use of Cryptlex Services within your products or environments and are subject to these Terms and any accompanying license or documentation. All such software is licensed, not sold. You agree to use these components in accordance with the accompanying documentation and any applicable license terms. You may not modify, adapt, or create derivative works unless expressly permitted, and you must comply with all applicable export laws and licensing requirements.
Use and Distribution of Software Components
Cryptlex grants you a limited, non-exclusive, non-transferable, revocable license to use and redistribute its software components solely to integrate or enable Cryptlex Services in your products or infrastructure. This includes embedding SDKs within your applications and deploying command-line tools or local server binaries to your or your customers’ environments. Redistribution must be secure, limited to what is necessary, and solely in connection with Cryptlex Services.
You may not reverse engineer, decompile, disassemble, modify, create derivative works of, sublicense, or otherwise use the components for any purpose unrelated to Cryptlex Services. Cryptlex retains all right, title, and interest in and to its software components, including all associated intellectual property rights. All components are provided “as is” without warranties of any kind. This license will terminate automatically upon breach of its terms or termination of your access to the Services.
8. Prohibited Activities
You agree not to use the Services in any manner that is unlawful, abusive, or interferes with others’ use. This includes, but is not limited to engaging in conduct that violates applicable laws or regulations; submitting or transmitting false, misleading, defamatory, or infringing content; uploading or distributing material that is obscene, offensive, or harmful; attempting to access or disrupt systems or networks without authorization; promoting or distributing competing services without permission; introducing malicious code such as viruses or malware; or using the Services in a way that, in Cryptlex’s opinion, impairs the stability or performance of the platform.
Cryptlex reserves the right, but not the obligation, to monitor, remove, or restrict access to any content or activity it reasonably believes violates these Terms or applicable laws.
9. Data and Privacy
You retain ownership of all content, files, or other materials you upload, submit, or transmit through the Services. Cryptlex may access, store, process, copy, or transmit such content solely as necessary to operate, maintain, support, and improve the Services. This may include responding to support requests or performing system-related functions.
You are responsible for ensuring that any content you provide does not violate applicable laws or infringe on the rights of others, and that you have all necessary rights and permissions to use and share it through the Services. Cryptlex does not monitor or verify uploaded content and disclaims responsibility for its legality, accuracy, or use.
Matters relating to the handling of personal data, including its collection, use, and protection, are governed by our Privacy Policy.
10. Third-Party Websites and Content
The Services may contain links to third-party websites, services, or content. Cryptlex is not responsible for third-party content, privacy practices, or policies, and disclaims any liability associated with your use of such third-party resources.
11. Service Level Commitment
Cryptlex commits to maintaining 99.9% uptime for its services. In the event of verified downtime, customers on eligible subscription plans may be entitled to service credits, as described in our Service Level Agreement (SLA).
12. API Usage
APIs provided as part of the services are subject to rate limits and fair usage policies. Excessive use that exceeds these limits may result in temporary throttling or suspension of your API access.
13. Term and Termination
These Terms remain in effect while you maintain an active subscription or account with Cryptlex. You may terminate your subscription at any time through your account settings. Cryptlex reserves the right to suspend or terminate your access if you materially breach these Terms, fail to pay fees, pose a legal risk, or if termination is required by law. Upon termination, all rights granted to you will cease. Cryptlex may remove or delete your data within a reasonable period after termination. Once deleted, data cannot be recovered, and Cryptlex does not provide data recovery services. You are solely responsible for exporting or backing up any data you wish to retain prior to account termination.
14. Modifications and Interruptions
Cryptlex may modify, suspend, or discontinue the services at any time, with or without notice. Planned maintenance or unforeseen interruptions may temporarily affect service availability. Cryptlex disclaims liability for modifications or outages.
15. Intellectual Property
All intellectual property rights in and to the services, including software, documentation, trademarks, and other content, remain the exclusive property of Cryptlex and its licensors. Nothing in these Terms grants you any ownership or license rights except as explicitly stated.
You may not use Cryptlex’s name, logos, trademarks, or branding without prior written permission. You also agree not to remove, obscure, or alter any copyright, trademark, or other proprietary notices appearing in or with the Services.
16. Disclaimer
THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CRYPTLEX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CRYPTLEX DOES NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM SECURITY BREACHES OR DATA LOSS.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CRYPTLEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL RESULTING FROM YOUR USE OF THE SERVICES OR ANY THIRD PARTY'S ACTIONS. CRYPTLEX’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO CRYPTLEX IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
18. Indemnification
You agree to indemnify, defend, and hold harmless Cryptlex and its affiliates, directors, officers, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, violation of these Terms, or infringement of any third-party rights.
19. Governing Law and Dispute Resolution
These Terms shall be governed by and construed under the laws of India. Disputes shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the venue in Delhi, India. Interim relief may be sought in courts located in Delhi.
20. Electronic Communications, Transactions, and Signatures
You consent to receive communications from Cryptlex electronically and agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communication be in writing.
21. Miscellaneous
These Terms constitute the entire agreement between you and Cryptlex concerning your use of the services. If any provision is found to be unenforceable, the remaining provisions will remain in full force. Our failure to enforce any provision does not constitute a waiver. You may not assign your rights or obligations under these Terms without our prior written consent.
If you choose to submit ideas, suggestions, or feedback regarding the Services, you acknowledge that Cryptlex may use them without restriction or obligation to you, and without any compensation or attribution.
